Terms of Service

1. Acceptance of Terms

By accessing or using Project Paced (the "Service"), you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity to these Terms. If you are using the Service on behalf of a business, our Data Processing Agreement (DPA) is hereby incorporated into these Terms.

2. Description of Service

Project Paced provides a platform for creating, visualizing, and exporting project timelines. Enterprise features include resource allocation and capacity planning, portfolio management across multiple projects, project health analytics, and professional PDF reporting. While we offer an AI Timeline Builder to assist in drafting project milestones, this is a secondary, optional feature. The core value of the Service is the visualization and export (CSV, PNG, SVG, PDF) of project data for professional reporting.

The Service is also available programmatically via a Public REST API and via a Model Context Protocol (MCP) server at mcp.projectpaced.com for AI-assistant integrations. Enterprise customers may be provisioned on our EU data residency instance at eu.projectpaced.com.

3. AI Content & Disclaimers

Nature of AI: Our AI features use probabilistic models (Google Vertex AI). AI-generated content may occasionally be inaccurate, incomplete, or "hallucinated."

No Professional Advice: Milestones generated by the AI do not constitute professional project management, legal, or financial advice.

Human Verification: You are solely responsible for reviewing and verifying the accuracy of any AI-generated output before relying on it for project execution or professional reports.

4. Intellectual Property & Ownership

Your Content: You retain full ownership of all project data you input and any milestones generated (whether manually or via AI).

Our Tools: Project Paced Ltd owns all rights to the application's code, design, visualization styles, and proprietary logic.

Exports: You are granted a perpetual, worldwide license to use, modify, and distribute any timelines exported from the Service (PNG, SVG, CSV) for your personal or business purposes.

5. Subscriptions & Account Deletion

Billing Tiers: We offer a 7-day Trial (5 generations), a Pro Tier (50 generations per month), and an Enterprise Tier (volume licensing with resource allocation, portfolio management, and PDF reporting features).

The "Active Subscription" Lock: To prevent billing disputes and data fragmentation, accounts with an active Stripe subscription cannot be deleted. You must first cancel your subscription via the Stripe Customer Portal. Once the billing cycle ends and your status is "Expired," the account deletion feature will be enabled in your profile.

6. API & MCP Usage

API Keys: API keys (pp_…) are confidential credentials issued to your account. You are responsible for safeguarding them and for all activity performed using them. Keys are shown once at issuance and stored only as SHA-256 hashes by us; we cannot recover a lost key — you must revoke and reissue.

OAuth Connections: When you connect Project Paced to an AI assistant via OAuth, the resulting access token acts on your behalf within your plan limits. You may revoke a connection from your AI assistant's connector settings at any time.

Plan Limits: Programmatic usage counts against your plan: Trial accounts are limited to 3 lifetime API calls; Pro accounts share the standard 50 generations/month allowance with in-app usage; Enterprise limits are governed by your order form.

Acceptable Use: You must not use the API or MCP server to (a) attempt to circumvent rate limits or authentication, (b) generate content that violates law or third-party rights, (c) reverse-engineer or scrape the Service at scale, or (d) build a competing product. We may revoke API keys or terminate OAuth connections without notice in response to abuse, suspected security incidents, or breach of these Terms.

7. Limitation of Liability

To the maximum extent permitted by UK law, Project Paced Ltd shall not be liable for any indirect, incidental, or consequential damages (including project delays or loss of business) arising from your use of the Service or reliance on AI-generated content.
